Terms of Service

These Terms of Service (the “Terms”) govern your use of Subtext, a city guide delivered by text message (the “Service”), and the website at subtext.city, both provided by CCC2C Inc., a Delaware corporation, 131 Continental Dr, Suite 305, Newark, DE 19713, United States (“CCC2C,” “we,” “us”). By using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Subtext sends you information about the places around you and answers your questions by text message, based on the location you choose to share. The Service relies on information from public records, third parties and other users, and on AI models, and its replies may be incomplete, out of date or wrong.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. You may use the Service only with a phone number that you own or are authorized to use.

3. Messages and fees

The Service is currently free of charge. Your mobile carrier’s message and data rates may apply. You may stop texts about places by texting “pause,” and you may end your use of the Service at any time by texting “delete me” or by no longer sharing your location.

4. Your content

You retain ownership of the notes, photos, Wi-Fi details and other content you send to the Service (“Your Content”). You grant CCC2C a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display and distribute Your Content as needed to operate and improve the Service, including by showing notes you leave to other users. You represent that you have the rights necessary to grant this license.

5. Acceptable use

You agree not to:

• use the Service for any unlawful purpose, or to harass, threaten, stalk or track another person;
• post content that is false, defamatory, obscene, hateful or infringing, or that discloses another person’s private information;
• share Wi-Fi credentials that you are not authorized to share;
• interfere with, overload or attempt to gain unauthorized access to the Service; or
• copy, scrape or resell the Service, or use it to build a competing product.

We may remove content and suspend or end access for any violation of these Terms.

6. Safety and reliance

Do not read or send messages while driving. The Service is not a navigation, emergency or safety service. Information about parking, transit, health inspections, events, prices and offers is provided for convenience only. Posted signs, official notices and the instructions of authorities always prevail, and CCC2C is not responsible for parking tickets, towing, missed connections or reliance on any information provided through the Service. Use your own judgment when meeting other people.

7. Third-party services

The Service depends on third-party services, including Apple’s iMessage and Find My, which are governed by their own terms. iMessage, iPhone and Find My are trademarks of Apple Inc. Subtext is not affiliated with or endorsed by Apple.

8. Intellectual property

The Service, including its software, design and the Subtext name and logo, belongs to CCC2C and its licensors and is protected by law. These Terms do not grant you any right to use them except to use the Service as permitted here.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CCC2C WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. CCC2C’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).

11. Indemnity

You will indemnify and hold harmless CCC2C and its officers, employees and agents from any claim, loss or expense, including reasonable attorneys’ fees, arising from Your Content or your violation of these Terms or of applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or end the Service, or your access to it, at any time and for any reason. Sections 4 and 8 through 14 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising from or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Nothing in this section limits any non-waivable right you have under the laws of the place where you live.

14. General

These Terms and the Privacy Policy are the entire agreement between you and CCC2C regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. We may update these Terms by posting a new version on this page; continued use of the Service after an update means you accept it.
